Road Pact End User License Agreement (EULA)

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING ROAD PACT.

This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and Burst Analytics, Inc., a Delaware Corporation (“Company,” “we,” “us,” or “our”), governing your use of the Road Pact application, including the tablet application installed in semi-trucks and the SaaS web application (collectively, “Road Pact”). 

1. License Grant ​

We grant you a non-exclusive, non-transferable, revocable license to use Road Pact solely for your internal business purposes in accordance with this Agreement. You may not use Road Pact for any other purpose. 

2. Restrictions

You agree not to: 

  • Distribute, lease, sublicense, sell, or otherwise transfer Road Pact to any third party. 
  • Modify, reverse engineer, decompile, or disassemble Road Pact, except as permitted by applicable law. 
  • Use Road Pact in any manner that violates applicable laws or regulations. 
  • Use Road Pact for any purpose outside your internal business operations. 

3. Ownership

Road Pact is licensed, not sold, to you. Burst Analytics, Inc. retains all rights, title, and interest in and to Road Pact, including all intellectual property rights. 

4. Payments

Payment for Road Pact is governed by a separate agreement. This Agreement does not contain payment terms. 

5. Data Collection and Privacy

Road Pact collects limited personal data, specifically driver names and the feedback provided by drivers. Your use of Road Pact is also governed by our Privacy Policy, which will be made available within Road Pact and on our website once finalized. 

6. Third-Party Components

Road Pact may include or rely on third-party software or services that are subject to their own licenses and terms. By using Road Pact, you agree to comply with such third-party terms where applicable. 

7. Disclaimers ​

Road Pact is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. 

8. Limitation of Liability

To the maximum extent permitted by law, Burst Analytics, Inc. shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of Road Pact. Our total liability shall be limited to the amount paid by you for the use of Road Pact or $100, whichever is greater. 

9. Termination ​

We may suspend or terminate your access to Road Pact immediately if you breach this Agreement or use Road Pact outside the scope of the permitted license. You may terminate this Agreement by ceasing all use of Road Pact. Upon termination, the license granted to you will terminate, and you must cease all use of Road Pact. 

10. Governing Law and Jurisdiction ​

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You agree that any disputes arising under this Agreement will be resolved exclusively in the state or federal courts located in Delaware.

12. Changes to this Agreement ​

We may update this Agreement from time to time. Continued use of Road Pact after such updates constitutes your acceptance of the revised Agreement.
